CONSTITUTION

Background

The Parrot Association of Canada is a group of dedicated aviculturists and breeders that came together out of a common interest in the breeding for preservation of parrot species specifically and other avian species generally. It was formed to encourage breeding practices that preserve the genetic purity of the species, to discourage hybridization and to inform and educate aviculturists and the general public in proper avian husbandry techniques.

Objects and Purposes

  To promote the breeding, conservation and preservation of avian species to ensure their future survival.
  To eliminate the taking of parrots from the wild as pets.
  To establish standards for the breeding, keeping and care of birds and to improve avian husbandry generally.
  To develop and administer a self-regulatory Canadian Model Avicultural Program for certification and accreditation of breeders of avian species and aviary facilities by licensed veterinarians.
  To support related research and conservation projects and to provide recognition of excellence in aviculture. 
  To promote interest and awareness in aviculture among the general public. 
  To assist government in defining policy and legislation relating to the keeping the breeding of birds and aviculture in general. 
  To help the parrots of the world in every way possible.

 
Members

Membership is open to all persons interested in furthering the objects of PAC, but admission of any specific person shall be at the sole and absolute discretion of the Board. Membership is also open to all clubs, societies and organizations devoted to the breeding, keeping and care of companion and aviary birds and member clubs shall be represented by their chief executive officer or other appointed representative.

Board of Directors

PAC shall be managed by a Board of between six and 12 Directors who shall be elected for a two year term by the members at the annual general meeting. A Director must be at least 18 years of age and a member in good standing. Directors shall be elected and shall retire in rotation. One-half of the current Directors, as of the date of adoption of this Constitution, shall resign at the next annual general meeting and new Directors shall be elected to hold office for a term of two years. At each annual general meeting thereafter, Directors shall be elected to fill the positions of those whose term of office has expired so that each Director holds office for a two year term or until the second annual general meeting after his election, whichever occurs first. Directors may be re-elected and hold office for consecutive terms. The Board of Directors may appoint a member to fill any vacancy that occurs during a Director's term.

Officers

There shall be a president, vice-president, secretary-treasurer, or secretary and treasurer, and such other officers that may be appointed by the Directors from from time to time, with the usual duties that are performed by those officers. The Directors may replace any officer or officers that they deem necessary in their discretion at any time.

Meetings

Directors' meetings shall be held at such times and places in Canada as may be determined from time to time by the Board. Meetings may be held by telephone conference call.

An annual general meeting of members shall be held once each year at such time and place in Canada as may be determined by the Board of Directors. A special meeting to deal with a specific matter or matters may be called at any time upon the request of any ten members.

Voting

Each paid up member shall be entitled to vote at meetings and will have one vote. Decisions shall be approved by a simple majority, except for any decision to change this Constitution which will require at least a 2/3 majority vote of those present. Member clubs shall have one vote to be cast by their duly appointed representative.


Annual Dues

The Board may fix annual dues at the last meeting of the year. Dues must be paid by January 1st in each year and members that have not paid their dues will not be entitled to vote at meetings nor receive the Journal.

Association With Other Organizations

PAC may associate or affiliate with such other avicultural clubs, societies or organizations as the Board deems appropriate from time to time.

Model Avicultural Program

PAC shall develop, implement and administer a Canadian Model Avicultural Program for the certification and accreditation of breeders and aviary facilities by licensed veterinarians. To qualify for membership in the Program, a breeder must be a member of PAC or of a club or society affiliated with PAC.
